TessellisS.p.A.(formerlyTiscali S.p.A.[2]) is an Italiantelecommunications companyfounded in 1998 and based inCagliari,Sardinia,that providesInternetandtelecommunications servicesin Italy, and, previously had operations in otherEuropeannations through itsacquisitionof many smaller EuropeanInternet Service Providers(ISPs) in the late 1990s.[3]

Since 2022, following the Tiscali-Linkemmerger,the company hasacquiredfull control of theretailservicespreviously provided by Linkem (now OpNet), including the brand.[4]

History

Tiscali S.p.A. was created in January 1998 inCagliaribyRenato Soru,following the deregulation ofItaliantelephone system.[5]Thecompanyowes its name to aSardinianmountain at whichremains of an ancient villagewere found.

In 1999 thesubsidiaryTiscali Italia S.p.A.was founded.

From March 1999 onward, Tiscali offered "Tiscali Free Net", a subscription-freeInternetservicewhere customers only had to pay for the time they wereonline.This pushed other Italianprovidersto repeal theirfixedsubscription fees, thus contributing to making the Internet accessible to the masses in Italy.

In November 1999 Tiscali,Franco BernabèandSanpaolo IMIfoundedAndala,which in 2000 was acquired byHutchison Whampoaand won the tender for the award of3G(UMTS) licenses.[6]

On 25 March 2009 Tiscali launchesTiscali Mobile,anESP MVNOon theTIMnetwork.

In 2012 three subsidiaries were founded:

On 30 December 2021, Tiscali S.p.A. andLinkem S.p.A.approved the project for themergerbyincorporationof Linkem Retail S.r.l. in Tiscali S.p.A.

On 27 April 2022, theshareholders' meetingsof Tiscali and Linkem approved the merger between the two companies.

On 1 August 2022, the two companies completed the merger process: Tiscali S.p.A. integrated Linkem Retail S.r.l., with the consequent transfer of the branch to thesubsidiaryTiscali Italia S.p.A., while Linkem S.p.A. (now OpNet S.p.A.) became themajority shareholderof Tiscali S.p.A. (58.60%).[4][7]

After announcing it in October 2022, on 19 January 2023 the name of theparent companybecame Tessellis S.p.A., which will continue to operate under both thecommercial brandsTiscali and Linkem.[2]

On February 2, 2024,Wind Tresigned an agreement for the acquisition of theassets,including thenetwork infrastructure,of OpNet, which will be acquired 100% by Wind Tre together with all other subsidiaries, excluding Tessellis. On August 1, the transaction was completed.[8]

IPO

In October 1999 (during thedot-com bubble), the company went through aninitial public offering(IPO) to be traded on theItalian Stock Exchangeat ashareprice of 46 Euros. 3,098,000 shares were offered toinvestorsof which 2,658,000 shares were created through acapital increaseand the rest were sold by Soru. Soru made 20,240,000 Euros on the IPO. In 2012, the price per share had plummeted to 0.04 Euros.[citation needed]

Between 2001 and 2005,[9]shares were also traded on theFrench Stock Exchange.It was delisted from Paris Stock Exchange at the end of December 2005.

  • On 16 August 2004, sold itsAustrianbranch, Tiscali Österreich GmbH, to Nextra Telecom GmbH.
  • On 20 August 2004, sold itsSouth Africanbranch, Tiscali (Pty) Ltd, toMWEB Holdings (Pty) Ltd.
  • On 23 August 2004, sold itsNorwegianbranch, Tiscali AS, toTelenor Telecom Solutions AS.
  • On 30 August 2004, sold itsSwedishcounterpart, Tiscali AB, toSpray Network AB,then a subsidiary ofLycos, Inc.
  • On 16 September 2004, sold itsSwisscounterpart, Tiscali AG, reaching an agreement withSmart Telecom Plc.
  • On 19 October 2004, sold its South African mobile telephone network, Tiscali Mobile, toVodacom S.A.
  • On 29 November 2004, sold itsLuxembourgsubsidiary, Tiscali S.A., reaching an agreement with Alternet S.A.
  • On 29 November 2004, sold itsBelgiansubsidiary, Tiscali N.V, reaching an agreement withScarlet België SA.[10]

  • On 5 May 2005, sold theFrenchISP,Liberty Surf Group SAStoTelecom Italia S.p.A.[11]
  • On 31 January 2007, sold itsGermanbusiness to consumer activities toFreenet.de AG,at a sum of30 million.[12]It later sold its business-to-business transactions on 5 February 2007 to Ecotel Communication AG, with future intentions to leave the German market altogether.[13]
  • On 19 June 2007, sold itsDutchbranch, Tiscali B.V., toRoyal KPN N.V.[14]
  • On 11 October 2006, announced that it was to focus on theUKandItalyas its prime ISP targets, with plans to introduce new services to them including a mobile network operator and new IPTV products to the United Kingdom by its acquisition ofHomeChoice.[15]
  • On 31 December 2008, shut down its IPTV service in Italy.[16]
  • On 27 May 2009, sold its International arm,Tinet B.V.to BS Private Equity S.p.A. firm.[17]
  • On 30 June 2009, sold its UK subsidiary toCarphone Warehousefollowing regulatory approval from theEuropean Union.[18]The service was rebranded asTalkTalkin January 2010.[19]
  • By 16 February 2016, completed its merger with Aria S.p.A., an ItalianWiMAXprovider.[20]
  • On 1 August 2022, completed its merger with the retail branch of Linkem S.p.A.[4]
  • On 19 January 2023, Tiscali S.p.A. changed its name to Tessellis S.p.A.[2]

Tiscali Europe

Each of Tiscali's regionalcompaniesoffer manyservices,which may includebroadbandInternet accessandtelephone services.Between 2007 and 2008, Tiscali briefly operated anIPTVservice inItaly,Tiscali TV,available in the cities ofBologna,Cagliari,Florence,Genoa,Milan,Naples,Palermo,Rome,TurinandTrieste.ItsUKtelevision service,Tiscali TVwasacquiredbyTalkTalkin 2009.

Tiscali's former carrier company,Tiscali International Network,was apure playcarrier business deliveringwholesaleservices including GlobalIPConnectivity,MPLSlines,VoIPandnetwork monitoring.[citation needed]In May 2009, its IP/MPLSbackbonecounted 90Points of Presenceand extended over 17Europeancountries and across theUnited StatesandHong Kong.Itsautonomous system(AS3257) was a core ASN in the globalInternet routingtable, as well as the largestIPv6backbone outsideAsia.The network was sold to the Italianprivate equity firmBS Private Equity on 27 May 2009, and renamed Tinet.[17]

Tiscali ran similarWeb portalsfor each of its countries, which include features such asWebmail,reviews,news,videos,dating,chat,radio,TV guide,streaming TVchannelsand others.

Tiscali published a self-brandedWeb browserof the same name which was distributed with itsdial-upInternet packages. The browser used the core ofMicrosoft'sInternet Explorerbrowser to display web pages. Distribution of the software ended during Tiscali'scorporaterebrandingin 2004.

Tiscali offered dial-up Internet access inFinlandunder service nameSurfeu.

Tiscali Campusin Cagliari had 1,000 employees as of early 2013. The center includes a development division forInternet technologies.Researchers working there included Antonio Tuzzi (one of the developers ofApple'smacOS), Luca Manunza (inventor of the first Webmail service), and Domenico Dato (developer of Arianna, the first Italiansearch engine).[21]

TheTiscali Campusis theheadquartersof Tiscali.[22]

Designed by the Arassociati studio, thecampusis a work ofcontemporary architectureinCagliariand an example ofpublic artinItaly.

It is located in the area of Sa Illetta, which was once a small island reachable only by boat, between the Cagliari pond and the State Road 195 "Sulcitana", an important artery of SouthernSardinia.Nearby is the church of San Simone, ariding school,the Ballero farm and the Porto Canale.
