Wind TreS.p.A.,more commonly known asWINDTRE,is an Italiantelecommunications companyof theCK Hutchison Holdings Limitedgroup,[2]which offersmobileandfixed telephonyservices.

It was born on 31 December 2016 from themergerof two Italian telecommunications companies, namely3 ItalyandWind,controlled respectively by CK Hutchison Holdings andVimpelCom.[3][4][5]

Since 7 September 2018, CK Hutchison Holdings has been the soleshareholderof Wind Tre as, following approval by theEuropean Commission,theHong Konggroup completed the acquisition of the remaining 50% of the company from VEON (formerly VimpelCom).[6][7][8]

As of 2022, it is the first Italian mobile operator forSIMHUMAN, third instead afterTIMandVodafonein total active cards.[9]

History

Wind-3 networks unification

On December 31, 2016, the project to create an equaljoint venturebetweenCK Hutchison Holdings,owner of3 Italy,andVimpelCom,owner ofWind,was completed.[10][11]The project envisaged themergerof H3G S.p.A. and Wind Telecomunicazioni S.p.A. into Wind Tre S.p.A.[3]

On 7 September 2018, VEON (formerly VimpelCom) sold its 50% stake in Wind Tre to CK Hutchison Holdings, which thus became the soleshareholder.[8]

Despite the merger, thecompanykept theWind, 3 Italy and Infostradabrandsactive (with the exception ofWind Businessand 3 Business which becameWind Tre Businesson 23 May 2017[12]) until 16 March 2020,[13][14][15]when the company started a process ofrebrandingthat led to the birth of the unified brands Wind Tre, Wind Tre Business andVery Mobile(born on February 24, 2020, as aMobile Virtual Network Operatorto compete withIliad,ho-mobileandKena Mobile[16]).[17][18][19]Very Mobile was the first MVNO to market its offers also oneSIMand to experiment withVoLTEandVoWiFitechnologies.[20][21][22][23]

As of August 2022, the company has obtained authorization fromAGCOMto start a collaboration with Iliad for5Gsharing in rural areas with low population density. In January 2023, the creation of theZefiro Netjoint venture, jointly controlled by the two companies, was completed.[24]

On February 2, 2024, Wind Tre signed an agreement for the acquisition of theassets,including thenetwork infrastructure,ofOpNet(formerly Linkem), which will be acquired 100% by Wind Tre together with all othersubsidiaries,excludingTessellis(formerly Tiscali). On August 1, the transaction was completed.[25]
